CLIENT REQUIREMENT

Set up a holding company under a UK common-law framework solely to hold overseas company assets in Cyprus and the BVI, without creating an unnecessary operating business in the UAE.

CHALLENGE

A conventional operating company would not solve the client’s asset-holding objective efficiently. The structure needed to isolate risk, accommodate overseas holdings, satisfy UBO/KYC and authorised-signatory requirements, and remain credible to banks and counterparties.

SOLUTION

Vantablack narrowed the structure to an ADGM Special Purpose Vehicle: a private company limited by shares designed for passive holding, asset ring-fencing and cross-border ownership.
