A conventional operating company would not solve the client’s asset-holding objective efficiently. The structure needed to isolate risk, accommodate overseas holdings, satisfy UBO/KYC and authorised-signatory requirements, and remain credible to banks and counterparties.
Vantablack narrowed the structure to an ADGM Special Purpose Vehicle: a private company limited by shares designed for passive holding, asset ring-fencing and cross-border ownership.
Vantablack matched the legal vehicle to the client’s actual objective — asset holding, not operations — avoiding an unnecessarily heavy operating-company structure while preserving common-law governance and future flexibility.
